Overview.
UJAM, Inc. (“UJAM”) is seeking candidates to participate in an exciting vocal music recording project. These Official Contest Rules ("Official Rules") apply to each person entering the Assassin’s Creed - Revelations Singing Contest (the “Contest”, and each such person, “you” or, a “Contestant”) and shall be binding when you make any submission to UJAM. Contestants are also subject to the UJAM website (“Website”) Terms and Conditions. By registering for the Contest and making a submission, you hereby agree to these Official Rules.
In the event of any conflict between these Official Rules and the Website Terms and Conditions, the Website Terms and Conditions shall apply. If you do not agree to be bound by these Official Rules or to the Website Terms and Conditions, your only recourse is to discontinue use of the Website and not to enter the Contest.
UBISOFT HAS PROVIDED THE USE OF THEIR NAME AND TRADEMARKS, BUT IS IN NO WAY INVOLVED IN THE EXECUTION, ADMINISTRATION OR FULFILLMENT OF THIS CONTEST AND ANY QUESTIONS, COMMENTS OR COMPLAINTS REGARDING THIS PROMOTION MUST BE DIRECTED TO UJAM.
I. Eligibility.
The Contest is open to residents of the United States, Canada, the United Kingdom and Germany who are 18 years of age or older at the time they make a submission to the Contest.
In order to participate in the Contest, you must have completed a registration for the Website and for the Contest and assented to the Website Terms and Conditions ("Submission"). You must submit a Submission (defined below) and must be the rightful owner (or have authorized use) of the e-mail address identified in the Submission. In the event of a dispute as to the identity of any Contestant, the Contestant will be deemed to be the natural person in whose name the e-mail account associated with the provided e-mail address was registered.
Employees, shareholders, officers, directors, agents, and representatives of UJAM, Ubisoft, Inc., and Remote Control Productions and each of their respective parent companies, affiliates, divisions, subsidiaries, agents, representatives and promotion and advertising agencies, together with the immediate family members and those living in the same household of such persons, are not eligible to participate in the Contest.
Should your Submission violate these Official Rules or the Website Terms and Conditions in any manner whatsoever, UJAM reserves the right to disqualify you and replace you with an alternate eligible Contestant selected from among the remaining eligible Contestants.
By registering for the Contest and creating a Submission, you certify that you meet all eligibility requirements, including but not limited to the fact that you do not have any of the following agreements in effect (written or oral):
- an agreement limiting the use of your name, voice and/or likeness;
- any contractual arrangement that would prohibit you from fully participating in any recording sessions or performances; or
- any other contractual arrangement that would require the payment of fees to any third party for the use of your voice, appearance or services, or any audio or visual recordings or representations thereof in any media.
All Contestants are subject to background checks to confirm eligibility and suitability for participation in a vocal music performance contest in the absolute discretion of UJAM and its designees. Upon request, any Contestant may be required to provide a signed declaration or affidavit confirming eligibility and consenting to detailed background checking to the fullest extent permitted under applicable law. Failure to comply when requested may result in disqualification. This Contest is subject to all applicable laws in each jurisdiction where residents are eligible to participate in the Contest, and is void everywhere else and where prohibited or restricted by law.
II. How to Enter.
No purchase is necessary to enter the Contest. Each Contestant must submit one sound recording of the Contestant’s own voice singing the Assassin’s Creed – Revelations Theme (the “Theme”), accompanied by UJAM-provided instrumental accompaniment (“backing track”), as available on the Website (collectively, with any other information provided by Contestant hereunder, a “Submission”). UJAM will provide the backing track for the Theme for all Contestants’ vocal sound recordings on the UJAM Contest Website. You are welcome to improvise on the Theme (melodically, no lyrics please) but any and all such improvisations may be used by or on behalf of UJAM as described in “Rights in Submissions” below.
You may only submit one vocal sound recording of the Theme. Submissions will be made via the means specified on the Contest website. Submissions must not contain any profanity, or extreme depictions of violence, or be obscene, lewd, discriminatory, or threatening in any way. Submissions may not reveal personal information about another person or persons, nor may they defame or misrepresent another person, persons, or entity. All Submissions must feature exactly one (1) Contestant singing.
UJAM is not responsible for late, lost, damaged, misdirected, stolen, or misappropriated Submissions. UJAM is not responsible for faulty file uploads accompanying Submissions.
Each Contestant, among other things, attests that she or he has read these Official Rules and agrees to be bound by the terms and all applicable conditions of the Contest set forth in these Official Rules and the Website Terms and Conditions.
Entry into the Contest means that UJAM and its designees have permission to use your name, likenesses, and voice for future advertising and publicity purposes without additional compensation.
SUBMISSIONS WITHOUT PROPER REGISTRATION WILL BE DECLARED INELIGIBLE FOR PARTICIPATION AND WILL BE REMOVED FROM THE WEBSITE.
ALL SUBMISSIONS MUST BE SOLELY THE WORK OF THE CONTESTANT AND SHALL NOT INCORPORATE ANY MATERIAL OF WHICH THE CONTESTANT IS NOT THE AUTHOR OR CREATOR OR SHALL BE REMOVED FOR COPYRIGHT OR TRADEMARK INFRINGEMENT VIOLATION.
III. Judging and Prize.
The top 20 Submissions will be identified based on the number of “thumbs up” or “likes” each Submission receives on the UJAM Website and on the Contest page on Facebook during the period from the commencement of the Contest to September 19, 2011 at 8 p.m., Pacific time. The top 20 Submissions will be announced on the Website on September 19th.
The Contest winner will be chosen from the top 20 Submissions by a select panel of judges comprised of noted songwriters, singers, producers, and music industry professionals. Submissions will be judged based on the quality of the vocal performance in the judges sole and unfettered discretion.
The winning singer as selected by the judges (the “Winning Singer”) will receive $1,000 in cash and record the Theme for possible use in connection with Assassin’s Creed – Revelations and other related works as described below. All federal, state, and local laws and regulations apply. UJAM reserves the right to substitute prizes of equal or greater value.
The Winning Singer will be announced on or before September 30, 2011. Announcements will be sent to the email address provided by each Contestant and will also be posted on UJAM.com, no other notification will be given. For more information contact contestinfo@ujam.com.
The Winning Singer must sign and return an affidavit of eligibility/recording rights/publicity release within 14 days of notification date. The affidavit will state that Winning Singer is the performer on the winning sound recording entry and that she or he holds all rights to that performance. Failure to sign and return such affidavit within 14 days or provision of false/inaccurate information therein will result in immediate disqualification and an alternate winner will be selected. Affidavits are subject to verification by UJAM and its agents. The Winning Singer will be required to provide Sponsor with her or his social security number or other tax identification number for tax purposes within the U.S. or pursuant to International law. All applicable U.S. federal, state, local and international taxes, duties, or other taxes or fees (if any) are the sole responsibility of the Winning Singer and Sponsor may issue Form 1099 for U.S. citizens. Approximate combined retail value of all prizes is One Thousand Seven Hundred United States Dollars (US $1,700). The approximate retail value of the prizes represents Sponsor’s good faith determination. That determination is final and binding and cannot be appealed. If the actual value of the prizes turns out to be less than the stated approximate retail value, the difference will not be awarded in cash.
IV. Recording the Theme.
The Winning Singer agrees to make herself or himself available for one (1) day of recording at a recording studio to be selected by UJAM that is proximate to the Winning Singer’s place of residence. The date of such recording session will be promptly after the announcement of the Winning Singer, and will be reasonably established by UJAM and the Winning Singer. UJAM will pay the Winning Singer’s reasonable expenses for travel to and from such recording studio, and reasonable incidental expenses. At such studio, the Winning Singer will record a studio-quality version of the Theme under the direction of UJAM or its agents, for possible use in connection with Assassin’s Creed – Revelations and its sequels, variants and derivative works thereof.
As a condition of entry, each Contestant agrees that she or he will appear for the recording session referred to above, that all rights in all media worldwide in the products of such recording session (including videos, films, photographs and sound recordings) shall be the property of UJAM or its designees. The Winning Singer will, as a condition of winning, assign all such rights to such sound recording to UJAM in perpetuity, for all uses, for no additional consideration, including without limitation for use in connection with the production version of Assassin’s Creed – Revelations and its sequels, variants and derivative works thereof, and all advertising therefor, in all media whether now known or hereafter devised, worldwide. All Contestants acknowledge and agree that, although UJAM intends that the recording of the Theme by the Winning Singer will be included in the production version of Assassin’s Creed – Revelations and its sequels, variants and derivative works thereof, there can be no absolute assurance of such inclusion.
V. Rules are Binding.
Participation in the Contest constitutes Contestant's understanding of and full and unconditional agreement to and acceptance of these Official Rules. Sponsor reserves the right to disqualify any Contestant that Sponsor determines to be in violation of any term contained in these Official Rules or in violation of the Website Terms and Conditions. Sponsor's decision not to enforce a specific provision of these Official Rules does not constitute a waiver of that provision or of the Official Rules generally.
VI. Odds.
Odds of winning the Contest will depend on the nature, quality and quantity of Submissions as determined by the Sponsor and the judges.
BETTING OR WAGERING ON THE OUTCOME OF THIS CONTEST IS STRICTLY PROHIBITED AND ANY SUCH BREACH WILL RESULT IN DISQUALIFICATION.
VII. Decisions of Sponsor; Notifications.
All decisions of Sponsor are final and binding. The winning Submission may be posted on the Website at the discretion of the Sponsor.
VIII. Rights in Submissions.
By submitting a Submission for this Contest, you hereby grant to UJAM and its designees the non-exclusive, fully paid, worldwide license to use, copy, sublicense, transmit, distribute, publicly perform, publish, delete or display such Submission, or any portion thereof, in any media now known or hereafter devised on a royalty-free basis, for any and all purposes including, but not limited to, display, public performance, posting for streaming and/or download, making of derivative works, reproduction, distribution, and all other means of exploitation of the Submissions. Each Contestant authorizes the Sponsor, and any entities affiliated or in privity with the Sponsor, to utilize on a non-exclusive basis, for eternity and in any manner the Sponsor sees fit, the Submission submitted to Sponsor, and to make derivative works from such materials for promotional purposes of the Sponsor, the Contest and Assassin’s Creed – Revelations. Each Contestant agrees that the results and proceeds of any such use shall become the property of Sponsor and/or Sponsor's licensees, and shall be freely assignable by Sponsor, and that Sponsor and its assignees and licensees shall have no obligations whatsoever to Contestant. Each Contestant releases the Sponsor, and its assignees and licensees, from any and all claims or liability (now known or hereafter arising), including but not limited to any claims for defense and/or indemnity, in connection therewith. Each Contestant agrees and acknowledges that participation in the Contest shall not give rise to any confidential, fiduciary, implied-in-fact, implied-in-law, or other special relationship between the Sponsor and Contestant, and that the only contract, express or implied, between the Sponsor and Contestant is as set forth in these Official Rules and the Website Terms and Conditions.
Any personal information supplied by you as part of the online registration process, including but not limited to the content of your Submission, will be subject to the privacy policy on the Website. By participating in the Contest, you grant UJAM permission to share any and all such information with any other companies or persons who are working with or on behalf of UJAM for the purpose of carrying out the Contest, and in addition you acknowledge that any and all such information will be collected and may be used and shared with others as set forth in the posted privacy policy to the extent allowed by applicable law.
IX. Rights of Sponsor – Disclaimer of Liability.
Sponsor shall have the right and sole discretion to edit, to refuse to post or cease to post or use any Submission whatsoever which it finds to be in violation of the provisions hereof, or which it finds in its sole discretion to be otherwise objectionable for any reason, including with respect to broadcast standards and practices and other program policies. Sponsor also reserves the right to replace the Winning Singer Submission with the Submission of an alternate eligible Contestant if the Winning Singer Submission and/or Contestant is withdrawn from or removed from the Contest. Sponsor also reserves the right, in its sole discretion, to close the entry period at any time and/or to cancel, terminate, modify, or suspend the Contest for any reason, including, but not limited to, computer virus, hardware, or software failure, human intervention violating these rules, or acts of God. In the event that there is an error, problem or cause which impacts the operation, administration or security of the Contest or the Sponsor and, in such situation, to select the winner from the eligible Entries received prior to the action taken or in such manner as deemed fair and appropriate by Sponsor.
THE CONTEST IS VOID WHERE PROHIBITED OR LIMITED.
The Sponsor is not responsible for any materials provided by Contestants which are deemed harmful or offensive to others. All statements and opinions made by Contestants are those of such Contestants only, and the Sponsor neither endorses nor shall be held responsible for the reliability or accuracy of same. Any attempt by any person to undermine deliberately the legitimate operation of the Contest is a violation of the Official Rules and may be a violation of law. Should such an attempt be made, the Sponsor reserves the right to seek damages from any such individual or organization to the fullest extent permitted by law. Sponsor is not responsible for the content or practices of third party web sites that may be linked to the Website. The Website may also be linked to websites operated by companies affiliated with Sponsor. Visitors to those sites should refer to each site's separate privacy policies and practices.
Each Contestant acknowledges that although the Contest may be promoted through Facebook, Inc. (“Facebook”), the Contest is in no way sponsored, endorsed or administered by, or associated with Facebook. As a condition of entry, each Contestant completely, fully and unconditionally releases Facebook from any and all claim or liability in connection with the Contest. Any information disclosed by Contestant in connection with the Contest is disclosed to Sponsor and not to Facebook.
X. Warranty.
By submitting a Submission, each Contestant shall be deemed to represent and warrant that the Submission does not violate any copyright, trademark, service mark, or other intellectual property right and shall indemnify, defend and hold harmless the Sponsor from and against any claims or liabilities with respect thereto. Contestant further represents and warrants that the Submissions and any use thereof by UJAM, its assignees or licensees, and each of their respective parent companies, subsidiaries and affiliates in connection with programming, advertising, promotion and publicity, shall not infringe upon any statutory or common law copyright and shall not constitute a defamation, or invasion of the right of privacy or publicity, or infringement of any other right of any kind of any third party.
XI. Indemnity.
The Contest may also be promoted by a third party or parties (each a "Promotional Partner," collectively "Promotional Partners"), including Ubisoft, Inc. Contestant shall indemnify and hold harmless the Sponsor, any Promotional Partners, and each of their respective parents, affiliates, successors, assigns and licensees, and each of their respective employees, shareholders, officers, directors, agents and representatives from and against any and all liability, claims, loss, damage, injury or expense, including reasonable attorneys' fees, arising in connection with any third party action arising out of a breach or allegation which if true would constitute a breach, of any of Contestant's representations, warranties or obligations herein.
XII. General.
By participating, each Contestant agrees that the Sponsor and its agents, representatives, parent companies, affiliates, subsidiaries and legal advisors, and its employees, shareholders, officers, and directors is not responsible or liable for, and shall be released and held harmless from: (i) late, lost, delayed, damaged, incomplete, illegible, unintelligible, misdirected or otherwise undeliverable mail, postage-due notices, release forms, affidavits or other correspondence; (ii) telephone, electronic, hardware or software program, network, Internet or computer malfunctions, failures, or difficulties of any kind; (iii) any condition caused by events beyond the control of the Sponsor that may cause the Contest to be disrupted or corrupted; (iv) any printing, human, typographical or other errors or ambiguities in (or involving) any materials associated with the Contest; (v) any and all losses, damages, rights, claims and action of any kind in connection with or resulting from participation in the Contest; (vi) acceptance, possession, or use of any grant, including without limitation, personal injury, death and property damage arising there from; and (vii) claims based on publicity rights, moral rights, defamation or invasion of privacy. Sponsor reserves the right, in its sole discretion, to suspend or cancel the Contest at any time for any reason, including, without limitation, if a computer virus, bug or other technical problem corrupts the administration, security, or proper conduct of the Contest, strikes, lock-outs, acts of God, technical difficulties, and other events not within the reasonable control of Sponsor. All issues and questions concerning the construction, validity, interpretation and enforceability of the Contest, or the rights and obligations of Contestants and the Sponsor in connection with the Contest, shall be governed by, and construed in accordance with, the laws of the State of California, without giving effect to any choice of law or conflict of law rules or provisions (whether of the State of California or any other jurisdiction) that would cause the application of the laws of any jurisdiction other than the State of California.
Sponsor reserves the right, at its sole discretion, to disqualify any individual it finds, in its sole determination, to be tampering with the entry process or the operation of the Contest; to be acting in violation of the Official Rules; or to be acting in a disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. Sponsor may suspend or discontinue the Contest if, in its sole opinion, there is any actual or suspected tampering of the Contest, or any other malfunction, event or activity that may affect the integrity of the Contest.
SPONSOR SHALL NOT BE OBLIGATED TO AWARD ANY PRIZE THAT RELATES TO OR ARISES OUT OF IMPROPER OR MISTAKEN PRIZE NOTIFICATION, OPERATION OR FUNCTION OF THIS CONTEST.
